A) Turkuaz Eğitim Danışmanlık Tur. San. Tic. Ltd. Şti., headquartered at Ahievran Mahallesi, 727. Sokak Kat:6 No:27-28-29-30, 40100 Kırşehir Merkez/Kırşehir, which operates the website www.turkuazegitim.net, will hereinafter be referred to as the "SITE."
B) The internet user who registers as a member of the website www.turkuazegitim.net will hereinafter be referred to as the "MEMBER."
The subject of this Agreement is to determine the terms and conditions under which the MEMBER may benefit from the website www.turkuazegitim.net owned by the SITE. Additionally, this website aims to create a virtual marketplace for the MEMBER to access goods/products offered for sale online.
3.1 All usage and disposal rights on the website, which is accessible after membership, belong to "www.turkuazegitim.net." These terms of use may be changed when necessary; however, these changes will be regularly published on the SITE and will become effective on the same date.
3.2 Every individual and legal entity that benefits from the SITE services and accesses the SITE is deemed to have accepted in advance any changes made by www.turkuazegitim.net to these terms of use. The right to change any information, forms, and content that are or will be on this SITE at any time is reserved by www.turkuazegitim.net.
3.3 The services offered through the SITE generally consist of electronic commerce as defined in the Consumer Law.
3.4 The services offered through the SITE include, but are not limited to, the sale of products offered on www.turkuazegitim.net. After the MEMBER pays the price, and provided that the supplier has the product in stock (i.e., the obligation to deliver the goods imposed on the seller by the contract can be fulfilled), it is aimed that the product will be delivered to the customer by the cargo company without defects within the promised time.
3.5 "www.turkuazegitim.net" is entirely free to determine the scope and nature of the services it will offer through the SITE and is deemed to have implemented any changes it makes regarding the services by publishing them on the SITE.
3.6 All members agree and undertake not to engage in any transactions that will only facilitate money transfers and do not constitute product and/or service sales, to refrain from actions that will manipulate the operation of the SITE, and not to engage in fraudulent, deceptive, or misleading transactions that may harm www.turkuazegitim.net after completing the membership process. All individual and legal entity members acknowledge and declare that they will be liable for all direct and indirect damages, including but not limited to attorney fees and court costs, that www.turkuazegitim.net may incur due to actions in violation of this clause. Furthermore, www.turkuazegitim.net reserves the right to file a criminal complaint with the Public Prosecutor's Office against those who engage in such acts.
3.7 When accessing the SITE or using www.turkuazegitim.net services, the following actions will be explicitly considered as a violation of the Agreement:
Violations of the law, third-party rights, and/or this Agreement or its annexes. Infringement of third-party intellectual and/or industrial property rights such as copyrights, trademarks, etc. Using www.turkuazegitim.net services despite being banned from membership. Failure to deliver/perform products and/or services due to reasons attributable to the MEMBER or failure to pay for the purchased product and/or service. Placing misleading, deceptive, incomplete, or incorrect content. Actions aimed at disrupting the user profile evaluation system, including causing harm to www.turkuazegitim.net’s infrastructure and system.
3.8 The MEMBER accepts, declares, and undertakes that the personal and other information provided while registering as a member of www.turkuazegitim.net is in accordance with the law and the principles of good faith, accurate, and up-to-date when necessary, and that they will immediately compensate www.turkuazegitim.net for any damages incurred due to the inaccuracy of this information. For members registered from abroad, www.turkuazegitim.net may request a copy of an official document (passport, residence permit, etc.) proving that they are abroad if there is a discrepancy regarding their registration abroad. The MEMBER accepts, declares, and undertakes that the personal data change process will be carried out by a customer representative authorized by www.turkuazegitim.net to ensure an appropriate level of security. The MEMBER accepts responsibility for any incomplete or incorrect processing of personal data and requests necessary changes through this method.
3.9 The MEMBER cannot share the password provided to them by www.turkuazegitim.net with others or organizations. The right to use this password belongs solely to the MEMBER. The MEMBER will be responsible for all liability arising from this and any claims and demands that may be made against www.turkuazegitim.net by third parties or authorized authorities due to unauthorized use. All claims and demands that may be made against www.turkuazegitim.net due to unauthorized use are reserved.
3.10 The MEMBER accepts and declares that they cannot transfer or partially or wholly assign this Agreement or the rights and obligations under the Agreement to any third party, including family members, spouses, fiancés, partners, etc., without the written consent of www.turkuazegitim.net. If the MEMBER transfers or opens the use of the Agreement or the rights and obligations under it to others, www.turkuazegitim.net has the right to unilaterally terminate this Agreement and end the membership without notice. The MEMBER has the right to introduce up to three (3) devices to their account, and if it is determined that the account is not being used individually or if multiple uses are detected, www.turkuazegitim.net reserves the right to close the account without notice, not provide refunds, and pursue legal action.
3.11 The MEMBER acknowledges that lessons recorded under this Agreement will be uploaded within 24 hours from the time the lesson is conducted. The MEMBER accepts and undertakes in advance to comply with the provisions of the relevant legal regulations when using the www.turkuazegitim.net website. Otherwise, all legal and criminal responsibilities arising from this will fully and exclusively bind the MEMBER whose information is recorded in the account.
3.12 The MEMBER may not use the www.turkuazegitim.net website in any way that disrupts public order, violates general morals, harasses or disturbs others, is for illegal purposes, or infringes upon the intellectual and copyright rights of others. Additionally, the MEMBER may not engage in activities (spam, virus, trojan horse, etc.) that prevent or make it difficult for others to use the services. The MEMBER acknowledges that files, information, and documents available for download and/or sharing on the SITE may not be free from viruses, worms, trojan horses, dialer programs, spam, spyware, or other harmful and malicious codes or materials, and the SITE does not guarantee this. The MEMBER is entirely responsible for obtaining, maintaining, and updating all software and hardware needed to prevent such harmful and malicious programs, codes, or materials, ensure the accuracy of data entries and exits, or recover any lost data. www.turkuazegitim.net is not responsible for any damages that the MEMBER or third parties may incur due to such harmful and malicious programs, codes, or materials, data inaccuracies, or losses. If a lawsuit or claim is filed against the MEMBER for actions contrary to this clause, the MEMBER accepts, declares, and undertakes that if www.turkuazegitim.net incurs any damage as a result of the said lawsuit or claim, the mentioned damage (reserving the right to compensation) will be recourse to them. The MEMBER accepts, declares, and undertakes that they are responsible for all electronic communications contrary to this clause and will bear the consequences of any legal actions arising from these communications (e.g., mail, insults in discussions and feedback), regardless of the reason.
3.13 The ideas and opinions expressed, written, and used by the members on the www.turkuazegitim.net website are entirely their own personal views and bind the owner of the opinion. These views and opinions have no relation or connection with www.turkuazegitim.net. www.turkuazegitim.net is not responsible for any damages third parties may incur due to the opinions and views expressed by members or for any damages that members may incur due to the opinions and views expressed by third parties. The MEMBER undertakes to resolve any complaints and requests related to the service they receive from www.turkuazegitim.net by contacting the authorized representatives of www.turkuazegitim.net. The MEMBER accepts, declares, and undertakes that www.turkuazegitim.net reserves the right to compensation and legal action if they post defamatory, insulting content on social media or other platforms without contacting www.turkuazegitim.net representatives in any case.
3.14 www.turkuazegitim.net will not be responsible for unauthorized reading of MEMBER data by others and for any damage that may occur to MEMBER software and data. The MEMBER has accepted in advance not to demand compensation from www.turkuazegitim.net for any damage they may suffer due to the use of the www.turkuazegitim.net website.
3.15 The MEMBER has accepted not to access or use the software and data of other internet users without permission. Otherwise, all legal and criminal liabilities arising from this will belong entirely to the MEMBER.
3.16 The MEMBER, who violates one or more of the articles listed in this membership agreement, will be personally liable for the criminal and legal consequences of this violation and will keep www.turkuazegitim.net free from the legal and criminal consequences of these violations. In addition, in the event that the matter is referred to the legal authorities due to this violation, www.turkuazegitim.net reserves the right to claim compensation from the MEMBER for non-compliance with the membership agreement. Registered members are responsible for whether or not they watch online lessons. In no case will online lessons be repeated, nor will lesson times be extended.
3.17 www.turkuazegitim.net always reserves the right to delete the MEMBER's membership, delete customer files, documents, and information when necessary. The MEMBER accepts this action in advance. In this case, www.turkuazegitim.net has no responsibility.
3.18 The software and design of the www.turkuazegitim.net website are owned by www.turkuazegitim.net, and the copyrights and/or other intellectual property rights related to them are protected by the relevant laws. These rights cannot be used, acquired, or altered by the MEMBER without permission. The names of other companies and products mentioned on this website are trademarks of their respective owners and are also protected under intellectual property rights. The protection programs for the information, writings, images, trademarks, slogans, and other signs on this SITE, the page layout, and the presentation of the SITE are the property of www.turkuazegitim.net or the organizations from which this site has obtained permission and licenses. The partial or complete copying, alteration, publication, transmission via online or other media, distribution, or sale of the information on this SITE or the databases, websites, software codes, HTML codes, and other codes, etc., related to the SITE, and the designs, images, texts, visual, audio, and other images, video clips, files, catalogs, and lists contained in the SITE is prohibited. The MEMBER accepts and undertakes not to reproduce, copy, distribute, process, or directly or indirectly compete with www.turkuazegitim.net by performing these actions or by other means. The partial copying, printing, processing, distribution, reproduction, or display of the information on this page is only possible for non-commercial personal needs and with the written permission of www.turkuazegitim.net.
3.19 For the improvement and development of the website and/or within the framework of legal regulations, www.turkuazegitim.net may collect certain information, such as the name of the internet service provider used to access the site, the IP address, the date and time of access to the site, the pages accessed while on the site, and the internet address of the website that directly connected to the site.
3.20 To provide better service to its users, improve its products and services, and facilitate the use of the site, www.turkuazegitim.net may use the personal information of its members in studies tailored to the members' specific preferences and interests. www.turkuazegitim.net reserves the right to keep a record of the actions taken by the MEMBER on the www.turkuazegitim.net website.
3.21 The person who becomes a member of www.turkuazegitim.net declares and accepts that within the scope of the current and/or future applications, they permit www.turkuazegitim.net to offer them product and service promotions, advertisements, campaigns, advantages, surveys, and other customer satisfaction practices. The MEMBER declares and accepts that they permit www.turkuazegitim.net to collect, use, and archive the personal and shopping information and shopping and/or consumer behavior information they have provided and will provide in the future, either at the time of membership or through other means, for the above-mentioned purposes. Unless the MEMBER states otherwise, they also declare and accept that they permit the collection and archiving of data after the membership is terminated. The MEMBER declares and accepts that they permit www.turkuazegitim.net to contact them using internet, telephone, SMS, etc., communication channels unless the MEMBER states otherwise. The MEMBER declares and accepts that they will not make any claims or hold www.turkuazegitim.net responsible for any direct and/or indirect material and/or moral damages, negative and/or positive, or any damages they may suffer due to the collection, sharing, use, archiving, and access to the above-mentioned information. If the MEMBER wishes to change their data-sharing preferences, they can communicate this request to the customer service call centers of www.turkuazegitim.net. However, the information provided to www.turkuazegitim.net by the MEMBERS through the SITE may be used in accordance with the provisions of the "Privacy Policy" and "Website Terms of Use." This information may be processed, classified, and stored in a database. The personal information of MEMBERS will not be disclosed to real and legal third parties, except for the cases specified by law and the situations specified in this agreement. Personal information is rarely shared with third parties acting on behalf of www.turkuazegitim.net or related to the work of www.turkuazegitim.net to better process the original purposes of using the data or to provide better service according to the purposes suggested by the MEMBERS. Unless expressly authorized by www.turkuazegitim.net under these Terms of Use, all rights regarding the services, information, copyrighted works, trademarks, trade appearance of the SITE, or other assets and information provided through this SITE are reserved.
3.22 www.turkuazegitim.net may disclose MEMBER’s personal information when required by law or in the good faith belief that such action is necessary to (a) comply with legal requirements or comply with legal processes served on www.turkuazegitim.net; (b) protect and defend the rights or property of www.turkuazegitim.net and the www.turkuazegitim.net website family.
3.23 www.turkuazegitim.net may transfer personal data to the companies it works with to provide services without obtaining the MEMBER’s explicit consent if it is related to the conclusion or performance of a contract.
3.24 Measures have been taken within the available means to ensure that the www.turkuazegitim.net website is free from viruses and similar software. However, to ensure ultimate security, users must procure their virus protection system and provide the necessary protection. In this regard, by entering the website of Turkuaz Eğitim Danışmanlık Tur. San. Tic. Ltd. Şti., the MEMBER is deemed to have accepted that they are responsible for any errors that may occur in their software and operating systems and for the direct or indirect consequences of these.
3.25 www.turkuazegitim.net reserves the right to change the content of the site, change or terminate any service provided to users, or delete user information and data registered on the www.turkuazegitim.net website at any time.
3.26 www.turkuazegitim.net may change, update, or cancel the terms of the membership agreement at any time without the need for prior notice and/or warning. Every modified, updated, or repealed provision will be effective for all members on the date of publication.
3.27 The Parties accept and declare that all computer records belonging to Turkuaz Eğitim Danışmanlık Tur. San. Tic. Ltd. Şti. will be taken as the only and exclusive evidence in accordance with Article 193 of the Turkish Code of Civil Procedure (HMK) and that these records constitute a contract of evidence.
This Agreement will remain in effect until the MEMBER cancels their membership or their membership is canceled by Turkuaz Eğitim. www.turkuazegitim.net may terminate the Agreement unilaterally by canceling the MEMBER's membership if the MEMBER violates any provision of the membership agreement.
www.turkuazegitim.net may partially or wholly assign this Agreement at any time without notice. However, the relevant MEMBER cannot assign this Agreement or any part of it to another party. Such an assignment attempt will not be valid.
www.turkuazegitim.net is not liable for late or non-performance of its obligations under these "WEBSITE TERMS OF USE" in all situations legally considered as force majeure. These and similar situations will not be considered delays, non-performance, or default for www.turkuazegitim.net, and no compensation liability will arise for www.turkuazegitim.net in such cases.
Disputes arising from these "WEBSITE TERMS OF USE AND MEMBERSHIP AGREEMENT" will be subject to Turkish Law, and the Courts and Enforcement Offices of Kırşehir will have jurisdiction. www.turkuazegitim.net reserves the right to file a lawsuit in the country where the MEMBERS are located.
By registering for membership, the MEMBER signifies that they have read and accepted all the articles in the membership agreement. The MEMBER will have the right and authority to become a member as defined in the agreement by fulfilling the conditions specified in this membership agreement. This agreement will be concluded and mutually come into effect at the time of the MEMBER's registration.
If any of the articles or provisions of this Agreement, or any of them, are rendered invalid or nullified by the legislator, a court decision, or for any other reason, this will not cause the other provisions or articles of the Agreement to lose their validity for the Parties. In such a case, the remaining parts of the invalid provisions or articles will continue to be valid and enforceable to the extent permitted by law or court decisions.
The Agreement consists of (11) articles and (..) pages, has been prepared on the date of …………………, and has come into effect after being read, accepted, and signed by the Parties.
By approving this membership agreement, the MEMBER declares and undertakes that they have read and accepted the Privacy Agreement, which is an integral part of the contract.
